Акция компании, приносящая ее владельцу фиксированный процент дохода, а не подверженные колебаниям дивиденды. Привилегированная акция представляет собой промежуточную форму ценной бумаги между обыкновенной акцией (ordinary share) и облигацией акционерной компании (debenture). Привилегированные акции обычно предоставляют право собственности на определенную часть имущества компании-в этом их сходство с обыкновенными акциями и отличие от облигаций. Однако в случае ликвидации компании выплаты по ним менее вероятны, чем по облигациям (но более вероятны, чем по обыкновенным акциям). Привилегированные акции могут быть погашаемыми (см.: redeemable preference shares (подлежащие погашению привилегированные акции)) к фиксированной или нефиксированной дате. Они также могут быть недатированными. Иногда привилегированные акции являются конвертируемыми (convertible). Права держателей привилегированных акций неодинаковы у различных компаний. Они излагаются в уставе компании (articles of association). Обычно ограничивается право участия в голосовании. Зачастую оно предоставляется только в том случае, если имеется задолженность по выплате процентов. Дополнительные права на получение дивидендов, например право на дополнительную долю в прибылях компании после распределения установленного процента прибыли между держателями обычных акций, предоставляет participating preference shares (привилегированная акция участия).
